Terms of service

These terms govern paid engagements between Starnek B.V. ("Starnek", "we") and the client ("you"). The Free Mockup is delivered without charge under Section 3 below; nothing here turns it into a paid commitment.
1. Engagement
A paid engagement begins when both parties countersign a Statement of Work (SoW) we send after the free mockup has been approved. The SoW lists deliverables, milestones, fees and timeline.
2. Fees and invoicing
Fees are net of BTW (VAT). For NL clients we charge 21% BTW; for EU B2B clients we reverse-charge per VAT directive. Invoices are due in 14 days unless the SoW says otherwise. Late payment accrues statutory commercial interest under Dutch law.
3. Free Mockup terms
- The mockup is delivered as a Figma file plus a public preview URL.
- You may keep, share or use the mockup for your own pitching/fundraising even if you don't proceed with us — but the file remains under our copyright until paid for.
- We may use anonymised excerpts of the mockup in our portfolio. If your project is confidential, tell us up front and we'll honour that.
- We accept up to two rounds of revision before deciding together whether the project is a fit.
4. Intellectual property
On full payment of the relevant SoW invoice, we transfer to you the IP rights in the deliverables agreed in that SoW. We retain rights in our pre-existing tools, libraries and components, which we license to you on a perpetual, non-exclusive basis to operate the deliverables.
5. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses for its own (and at least reasonable care). Obligations survive termination for three years.
6. Liability
Our total liability under any engagement is capped at the fees paid for the deliverables giving rise to the claim in the 12 months prior. Neither party is liable for indirect, incidental, or consequential damages.
7. Termination
Either party can terminate for material breach not cured within 14 days of written notice. You pay for work performed up to termination.
8. Governing law and venue
Dutch law governs. Exclusive venue: the District Court of Amsterdam (Rechtbank Amsterdam), unless mandatory consumer-protection rules apply.
